- The Chairman of the Committee on ‘Delisting of Securities’ constituted by the SEBI in March 1997.
- The Chairman of Corporate Legislation sub-committee of Mahratta Chamber of Commerce and Industries, Pune, during 1997-98 & 1998-99 and a member of Legal Affairs Committee of Bombay Chamber of Commerce & Industry, Bombay.
- A SEBI-nominated Public Representative Director and Chairman of the Board and the President of the Pune Stock Exchange, during April 2004 to April 2005.
- A Member of the Expert Group constituted by SEBI in October 2004 under the Chairmanship of Justice Kania to suggest further amendments to the SEBI Act, 1992.
He has copious published writings to his credit. He has so far authored over 1000 articles and 26 books, on various subjects in the areas of Corporate Laws and Corporate Secretarial Practice. Many of his articles have bagged awards as best articles. He is also an active participant in seminars, workshops, conferences, and conventions, and has, so far, addressed more than 500 such programmes, besides contributing papers at the National & International levels.
His office is located in Pune.

Special Window for transfer and dematerialisation of physical securities
This is to inform that SEBI vide its Circular No. HO/38/13/11(2)2026-MIRSD-POD/I/3750/2026 dated 30th January 2026 (“SEBI Circular”), has decided to open a special window for a period of one year from 5th February 2026 to 4th February 2027 to facilitate transfer and dematerialisation of physical shares of the Company which were sold/purchased prior to 1st April 2019 and/or were rejected/returned/not attended to due to deficiency in the documents/process/or otherwise.

In terms of the provisions of Section 124(5) of the Companies Act, 2013 (‘the Act’) read with the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer, and Refund) Rules, 2016 (“IEPF Rules”) (including any statutory modification(s) and/or re-enactment(s) thereof for the time being in force), any dividend remaining unpaid or unclaimed for a period of 7 (seven) years from the date of transfer to Unpaid Dividend Account, shall be transferred by the Company to the Investor Education and Protection Fund (‘IEPF’) established by the Central Government.
Further, in terms of the provisions of Section 124(6) of the Act read with the IEPF Rules, the shares in respect of which dividend is unpaid or unclaimed for a period of 7 (seven) consecutive years or more, shall also be transferred to the IEPF Authority.
Details of such unclaimed dividends and shares are regularly updated on the websites
of the Ministry of Corporate Affairs (‘MCA‘) (www.mca.gov.in) and the Company (www.asianpaints.com).
The Investor Education and Protection Fund (“IEPF”) Authority as per its broader drive for investor education and facilitation, has decided to launch Second 100 day Campaign – Saksham Niveshak, to enable the shareholders for KYC and Related Updation and Shareholder Engagement to Prevent Transfer of Unpaid/Unclaimed Dividends to IEPF during the period from 1st April 2026 to 9th July 2026.
As per SEBI Notification dated 18th November 2025 read with Master Circular for Registrars to an Issue and Share Transfer Agents dated 6th February 2026, companies must pay dividends to shareholders only through electronic mode. Accordingly, dividends are withheld by the Company where bank details are inadequate or not registered for electronic remittance. Further, the shareholders holding shares in physical form are requested to register their PAN and KYC details with the Company/RTA for release of outstanding dividend(s). While the shareholders holding shares in demat form are requested to update their bank details with their Depository Participant(s) for release of outstanding dividend(s).
Accordingly, in case of physical folio, if any of such updated details/documents are not registered with the Company, such folio(s) shall be considered as KYC non-compliant, and such shareholder(s) shall be eligible to receive any dividend/interest payments only through electronic mode effective from 1st April 2024, upon updation of the required details with MUFG Intime India Private Limited, Company’s Registrar to an Issue and Share Transfer Agent (‘RTA‘), at the earliest.
The members are herewith urged again to update their KYC details and bank mandates in order to receive the dividends in electronic form.
The eligible shareholders are requested to submit the following documents to enable the Company to release outstanding dividends:
Shareholders holding shares in demat form: Update bank mandates with the concerned Depository Participant and submit a duly signed request letter along with updated Client Master List with RTA of the Company.
Shareholders holding shares in physical form: Submit necessary investor service request forms for updation of PAN, contact details, bank mandates, and specimen signature with RTA of the Company.

In terms of provisions of the Notification dated 14th August, 2019 issued by the Ministry of Corporate Affairs amending the Investor Education and Protection Fund Authority (Accounting, Audit, Transfer and Refund) Rules, 2016 (IEPF Rules), the details of the Nodal Officer are as under:

Pursuant to Section 124(2) of the Companies Act, 2013 (the Act), the Company shall, within a period of 90 (ninety) days of making any transfer to Unpaid Dividend Account in terms of Section 124(1) of the Act, prepare a statement containing the names, their last known addresses and the unpaid dividend to be paid to each person and place it on the website of the Company.
Accordingly, the relevant information pertaining to the unclaimed dividend transferred to Unpaid Dividend Account is uploaded for the information of the shareholders.
Pursuant to Sections 124(5) of the Act read with Rules framed thereunder, the Company is required to transfer to the Investor Education and Protection Fund (IEPF), the amount of dividend remained unpaid or unclaimed for a period of 7 (seven) years from the date of transfer to the Unpaid Dividend Account.
In pursuance to the IEPF Rules, as amended from time to time, the Company must identify and upload details of unclaimed dividend as on the date of closure of financial year on their website.
Accordingly, the relevant information relating to the details of unclaimed dividend as on the date of closure of financial year is uploaded for the information of the shareholders.
Pursuant to Section 124(6) of the Act read with Rule 6 of IEPF Rules, the Company is required to transfer shares in respect of which dividend has not been paid/claimed for 7 (seven) consecutive years or more to the Demat Account of IEPF Authority.
In terms of Rule 6 of IEPF Rules, the Company shall upload the details of such shareholders and the shares due for transfer to IEPF on its website.
Accordingly, the relevant information relating to the unpaid dividend and shares is uploaded for the information of the shareholders.
Any person whose shares, unclaimed dividend has been transferred to IEPF, may claim the shares under Section 124(6) of the Act or apply for refund under Section 125(3) of the Act, by submitting an application in Web Form IEPF-5 as specified by the IEPF Authority from time to time in consultation with the Central Government.
